Chief Legal Officer (CLO) – Senior Legal Leader

About the role

Fortitude is seeking a senior legal leader to head its legal, regulatory, governance and compliance functions. Reporting to the CEO and serving on the executive team, the Chief Legal Officer will guide the company through complex corporate transactions, public‑company preparation and energy‑related matters while supporting overall growth strategy.

Key responsibilities

• Develop and implement corporate legal strategies that protect and advance business objectives.
• Oversee delivery of legal services, including drafting and negotiating leases, hosting agreements, power supply contracts, construction and commercial agreements.
• Lead preparation, review and filing of SEC reports and disclosures, ensuring ongoing public‑company reporting compliance.
• Support securities law matters, financing activities and strategic transactions in partnership with internal teams and external counsel.
• Provide legal leadership on M&A, joint ventures, due diligence, structuring, negotiation and post‑transaction integration.
• Advise on energy, power and infrastructure issues, including power purchase agreements and site acquisitions.

Required profile

• Extensive experience leading a corporate legal function with oversight of governance, compliance programs and securities law disclosures.
• Proven track record guiding companies through public‑company readiness, strategic transactions or complex corporate events.
• Strong ability to counsel CEOs, Boards and senior leadership on corporate governance, M&A, capital markets and risk management.
• Willingness to work remotely in the Eastern US with occasional travel to Fairport, NY and Stamford, CT.
