Senior Legal Counsel – Securitization (Executive Director)

About the role

The Securitization Senior Legal Counsel – Executive Director is a senior individual contributor within Santander's Corporate and Investment Banking (CIB) Securitized Products Group. The role provides day‑to‑day legal coverage for banking, lending and capital‑markets transactions across a broad range of asset classes, including RMBS, CMBS, ABS and CLOs.

Key responsibilities

• Lead the negotiation and drafting of deal documentation such as loan agreements, repo agreements, offering documents, underwriting agreements, term sheets and confidentiality agreements.
• Advise senior business stakeholders on structuring, underwriting, arranging and placement of securitization transactions.
• Monitor and interpret U.S. securities laws (including the ‘33 Act and ‘34 Act) and U.S. banking regulations as they apply to structured finance deals.
• Provide independent judgment on complex, novel or high‑risk structuring and documentation issues.
• Support adjacent business lines as a senior legal resource when needed.

Required profile

• Juris Doctor (JD) or equivalent law degree and admission to the bar.
• Significant experience in securitization and structured finance transactions.
• Strong knowledge of U.S. securities statutes (e.g., Securities Act of 1933, Securities Exchange Act of 1934) and U.S. banking law.
• Familiarity with residential whole‑loan trading and commercial real‑estate financing is a plus.
