Senior Contract Manager - Paralegal
BMNS · San Jose
Job description
About the role
A large privately owned mountain resort in the United States, which runs lodging, food and beverage, retail, rentals, events, construction and real estate operations, is looking for a Senior Contract Manager who acts as the first line of contract review for its legal team. The candidate reads every agreement, redlines it against the resort's standards and risk tolerance, and proposes negotiation positions with clear reasoning; the legal team handles negotiations directly at first, then the scope can grow.
Key responsibilities
- Review incoming third-party agreements in full and redline them against the resort's templates, standards and risk positions
- Flag key risks such as indemnification, limitation of liability, insurance, termination rights, auto-renewals, exclusivity, assignment and governing law
- Draft agreements from templates and help maintain and improve them
- Prepare issue lists with proposed positions and fallbacks, summarize counterparty redlines and track open issues across negotiation rounds
- Keep records of executed agreements, key dates, renewals and expirations, and alert the right people to deadlines
- Provide status updates to business teams requesting contracts
- Potential input over time: insurance and indemnity compliance, business licenses and permits, corporate records, claims and litigation support, and improving the contract workflow and intake
Required profile
- Paralegal background (required); formal paralegal training or certification, or substantial in-house or law-firm experience
- 5 to 10 years of hands-on experience reviewing, redlining and drafting commercial contracts
- Strong command of U.S.-style commercial contract terms and risk allocation
- Full professional fluency in written and spoken English
- Attention to detail, strong organization across many contracts, and the ability to explain risks clearly to attorneys and business owners
Required skills
- Advanced Microsoft Word, including track changes and document comparison
- Comfort with e-signature platforms
- Pluses: a law degree, experience with U.S. companies or law firms, exposure to hospitality, resort, real estate or construction contracts, and experience with contract management systems such as Ironclad, Concord or DocuSign CLM
Candidates are evaluated through a practical process: a redline exercise on a sample agreement, a walk-through of a complex agreement they worked on, and a discussion of their paralegal background.
