About the role

BETA Technologies is building electric aircraft and a supporting charging network. The Securities & Corporate Counsel will guide the company through complex securities, corporate governance and M&A matters, ensuring compliance with federal regulations while supporting rapid growth.

Key responsibilities

• Advise on federal securities laws and SEC reporting, preparing Forms 10‑K, 10‑Q, 8‑K, S‑1, S‑3, S‑8 and related filings.
• Partner with Finance, Investor Relations and Communications to deliver accurate public disclosures.
• Support the Board’s Compensation and Audit Committees, including meeting preparation, resolutions and regulatory guidance.
• Oversee equity administration, 10b5‑1 trading plans, equity grants, vesting, tax and reporting requirements.
• Provide counsel on insider trading, Section 16 compliance and beneficial‑ownership reporting for directors and executives.
• Assist with M&A transactions, commercial agreements and corporate development initiatives.

Required profile

• J.D. and active license to practice law in a U.S. state.
• 6+ years of legal experience, with significant in‑house exposure.
• Strong knowledge of federal securities laws, SEC rules and public‑company reporting.
• Experience advising public‑company boards or committees, especially Compensation and Audit.
• Ability to work regularly on‑site in South Burlington, Vermont.

Required skills

• SEC filing expertise (Forms 10‑K, 10‑Q, 8‑K, S‑1, S‑3, S‑8).
• Equity administration, including 10b5‑1 plans and Section 16 reporting.
• Corporate governance policy development and board support.
• M&A legal support and commercial agreement drafting.
