Corporate Counsel – Contracts Negotiation & Administration

About the role

CEG Solutions LLC is seeking an in‑house attorney to serve as a practical legal resource for contract intake, negotiation, and execution across its energy services portfolio. The role supports prime contracts, subcontracts, vendor agreements, and proposal terms while providing general business legal guidance.

Key responsibilities

• Review and negotiate third‑party contracts, including prime agreements, RFP terms, subcontracts, purchase orders and change orders.
• Identify legal, financial, schedule and operational risks, propose actionable redlines, and ensure they are reflected in final execution copies.
• Coordinate internal reviews and approvals across project, operations, finance, risk/insurance, leadership and outside counsel.
• Maintain a centralized repository for executed agreements and manage the contracts‑out‑for‑execution pipeline.
• Provide day‑to‑day legal support on corporate governance, employment issues, vendor disputes and compliance matters.
• Leverage AI tools for issue spotting, clause comparison and drafting while establishing safe‑use guidelines.

Required profile

• Juris Doctor from an ABA‑accredited law school and active license in at least one U.S. jurisdiction.
• 5–10+ years of experience in commercial and government contracting, preferably in construction, energy services or ESCO environments.
• Strong written communication, redline discipline and ability to synthesize complex risk.
• Highly organized with experience building contract trackers, dashboards and workflows.
• Demonstrated ability to balance AI tools for speed while validating accuracy.
