Chief Legal Officer (CLO) – Senior Legal Leader

About the role

Fortitude, a vertically integrated venture mining platform, is seeking a senior legal leader to shape and protect its corporate strategy. Reporting to the CEO and working closely with the Board, the Chief Legal Officer will guide all legal, regulatory, governance and compliance matters as the company expands its Proof‑of‑Work operations.

Key responsibilities

• Develop and execute corporate legal strategies aligned with business objectives.
• Oversee delivery of legal services, including contract drafting and negotiation for leases, hosting, power supply, construction and other commercial agreements.
• Lead preparation, review and filing of SEC reports and disclosures, ensuring ongoing public‑company reporting compliance.
• Support securities law matters, public‑company readiness, financing activities and strategic transactions.
• Provide legal leadership on M&A, joint ventures, due diligence, structuring, negotiation and post‑transaction integration.
• Advise on energy, power and infrastructure issues, including power purchase agreements and site acquisitions.

Required profile

• Extensive experience leading a corporate legal function with responsibility for governance, compliance programs and securities‑law disclosures.
• Proven track record guiding companies through public‑company preparation, strategic transactions or complex corporate events.
• Ability to deliver strategic counsel to CEOs, Boards and senior leadership.
• Willingness to work remotely in the Eastern US and travel to Fairport, NY and Stamford, CT as needed.
