Commercial Counsel – Legal Lead for High‑Growth SaaS

About the role

Clay is looking for a Commercial Counsel to shape and scale its commercial legal framework as the company expands internationally and deepens its data ecosystem. The role partners closely with the Head of Finance and cross‑functional teams to provide pragmatic, risk‑aware advice that supports rapid growth.

Key responsibilities

• Draft, review, and negotiate a wide range of agreements, including customer contracts, vendor agreements, partnerships, licensing deals, NDAs, and SaaS agreements.
• Serve as a trusted legal advisor to Sales, Product, Operations, and HR, delivering clear, solution‑oriented guidance that accelerates business objectives.
• Drive corporate governance and compliance initiatives, ensuring adherence to applicable laws and regulations.
• Develop and implement scalable legal processes, templates, and policies to improve efficiency while managing risk.
• Identify and proactively address legal risks as the business scales internationally and expands data partnerships.

Required profile

• J.D. from an accredited law school and an active U.S. law license.
• 8+ years of legal experience, with at least 4 years in‑house at a high‑growth B2B SaaS or AI company (preferred).
• Proven track record drafting and negotiating commercial contracts in the technology sector.
• Ability to handle diverse legal matters independently while exercising sound judgment.
• Clear, business‑focused communication style and pragmatic problem‑solving approach.
