Remote Business & Commercial Law Paralegal

About the role

We are looking for an experienced Business & Commercial Law Paralegal to support a U.S. law firm on corporate transactions, contracts, and business formation. This fully remote, full‑time position offers the chance to work directly with attorneys and clients on a variety of commercial matters.

Key responsibilities

• Assist attorneys with business formation, corporate governance, and commercial contracts.
• Prepare and organize entity formation documents for LLCs, corporations, partnerships, etc.
• Draft, revise, and manage operating agreements, bylaws, resolutions, and related corporate documents.
• Support mergers, acquisitions, asset purchases, and other business transactions, including due‑diligence coordination.
• Maintain corporate records, minute books, and ownership files within the firm’s case‑management system.
• Track transaction deadlines, contract renewals, and filing requirements.

Required profile

• Minimum 5 years of experience as a Paralegal, Lawyer, or Attorney.
• At least 2 years working in a U.S. business or commercial law firm.
• Hands‑on experience with entity formation, corporate governance, and contract drafting.
• Experience supporting mergers, acquisitions, and corporate due‑diligence processes.

Required skills

• Strong drafting and document preparation abilities.
• Familiarity with LLCs, corporations, partnerships, operating agreements, bylaws, and resolutions.
• Knowledge of UCC filings, state corporate filings, and annual reports.
