Paralegal - Mutual Fund Legal Group

About the role

The Mutual Fund Legal Group coordinates and supervises the legal aspects of domestic, US registered funds, including ETFs and closed-end funds, within a fast-paced environment. The Legal and Compliance Department ensures compliance with legal and regulatory requirements, protects the firm from regulatory and reputational risk and supports business units with timely advice. This Paralegal position sits within that group.

Key responsibilities

• Assist attorneys in preparing and updating fund registration statements, including Part Cs and prospectus supplements
• Help prepare documentation for the organization, reorganization, modification and liquidation of funds
• Support product development and mutual fund and ETF creations and launches
• Handle administrative projects such as uploading and managing Board materials in Diligent
• Coordinate, compile and review agendas, resolutions and materials for Board of Directors and Committee meetings, and gather reports for Board Books
• Assist with fund contracts, disclosure documents (shareholder reports, N-CENS), proxy materials and tender offer filings for closed-end funds
• Maintain internal document repositories and fund records, including electronic document management
• Keep up-to-date listings of officers and portfolio managers in databases
• Develop and maintain tickler files and calendars to track project timelines, due dates and regulatory deadlines

Required profile

• Minimum of 3 years of experience as a paralegal in an in-house legal department or law firm
• College degree preferred
• Experience with open-end, closed-end and exchange-traded funds is a plus

Required skills

• Microsoft Office Suite
• Ability to learn new databases and programs quickly
• Knowledge of Diligent Boards software is a plus
