Manager, Legal Services (Corporate Governance, M&A Integration)

About the role

The Manager, Legal Services (Corporate Governance, M&A Integration) will serve as the governance bridge between transaction execution and ongoing legal entity ownership, supporting acquisitions, investments, strategic partnerships and other corporate transactions.

Key responsibilities

• Lead governance integration for acquisitions and strategic transactions from due diligence through steady‑state ownership.
• Coordinate legal entity onboarding, governance readiness activities and post‑close integration to align with Mastercard standards.
• Partner with Corporate Development, Legal, Treasury, Tax, Controllers and integration teams to manage governance workstreams.
• Maintain accurate legal entity data, ownership records, organizational structures and governance documentation.
• Develop and monitor integration plans, remediation trackers, status reporting and governance metrics.
• Identify opportunities to improve governance processes through automation, technology and AI‑enabled solutions.

Required profile

• Bachelor's degree, paralegal certificate or equivalent legal entity governance experience.
• Minimum 5 + years in corporate governance, legal entity management, M&A integration or related legal operations.
• Strong understanding of corporate governance principles, legal entity structures and corporate recordkeeping.
• Proven ability to manage multiple projects and coordinate global stakeholders.
• Excellent analytical, problem‑solving and communication skills.

Required skills

• Advanced proficiency in Microsoft Office applications.
• Experience with legal entity management systems.
• Familiarity with data management tools and AI‑enabled productivity solutions.
