Corporate Legal Counsel

About the role

Xceedance is seeking a Corporate Legal Counsel to serve as the on‑site legal advisor for its U.S. operations. Working remotely in an EST time zone, you will partner with the General Counsel, executive leadership, and cross‑functional teams to manage legal risk and support growth initiatives.

Key responsibilities

• Provide trusted legal advice on strategic business initiatives, corporate transactions, and enterprise risk.
• Draft, review, and negotiate complex commercial agreements, regulatory filings, and governance documents.
• Interpret laws, regulations, and internal policies to ensure compliance and mitigate exposure.
• Collaborate with Finance, HR, Operations, and other stakeholders to align legal guidance with business objectives.
• Manage external counsel and legal vendors as needed.
• Lead moderately complex legal projects independently while contributing to broader enterprise initiatives.

Required profile

• Juris Doctor (JD) from an accredited law school.
• 5‑10 years of corporate legal experience, preferably in‑house, covering commercial contracts, regulatory compliance, and corporate governance.
• Strong knowledge of corporate law, contracts, and business transactions.
• Demonstrated ability to deliver practical, business‑oriented legal advice.
• Excellent negotiation, communication, and stakeholder management skills.
