Commercial Legal Counsel – Public Sector

About the role

GitLab is seeking a Commercial Legal Counsel to support its public‑sector go‑to‑market strategy. Reporting to the Director of Legal, Commercial, you will partner with internal teams and external counterparties to negotiate, draft, and review complex commercial and technology agreements while ensuring compliance with government procurement rules.

Key responsibilities

• Negotiate, draft, and review partnership, services, consulting, marketing, licensing, data‑privacy, and AI‑related contracts.
• Manage high‑value, strategic transactions and assess associated legal risks.
• Translate regional legal requirements into practical templates, policies, and processes.
• Advise on federal, state, local, and education (SLED) transactions, applying knowledge of procurement frameworks and data‑handling obligations.
• Contribute to the commercial legal function through mentorship, playbooks, and training initiatives.

Required profile

• Experience negotiating and drafting complex commercial and technology agreements.
• Familiarity with public‑sector procurement regulations and compliance requirements.
• Ability to assess legal risk and provide clear, actionable guidance to business teams.
• Strong communication skills and a collaborative mindset.
