Commercial Counsel – In‑House Deal Lawyer

About the role

Brain Co. is seeking an experienced commercial lawyer to become its first in‑house attorney. You will partner with sales, business development, finance, and the executive team to negotiate and close high‑value, first‑of‑kind deals that open new market routes across government and regulated industries.

Key responsibilities

• Draft and negotiate offer letters, contractor agreements, equity grants, employee policies and terminations.
• Support fundraising by reviewing and negotiating term sheets, SAFEs and equity financing documents.
• Handle commercial lease negotiations and manage outside counsel when needed.
• Monitor legal and regulatory developments affecting AI, govtech, data privacy, security and permitting.
• Provide product advisory as the legal SME for Brain Co.’s AI‑driven legal tools.
• Collaborate with cross‑functional partners to close strategic partnerships and high‑value transactions.

Required profile

• Licensed attorney with solid commercial law fundamentals and a strong work ethic.
• Excellent analytical and communication skills; able to think creatively and solve complex problems.
• Self‑starter who takes ownership of initiatives and pays close attention to detail.
• Business‑oriented mindset, comfortable working with senior executives and cross‑functional teams.
