Capital Markets Director

About the role

Riveron is seeking a senior Director to lead its Capital Markets Services practice, focusing on IPOs, de‑SPAC transactions and other complex capital‑markets events. The role partners with CFOs, Controllers, CAOs and senior executives to guide companies through the full transaction lifecycle and the transition to a public company.

Key responsibilities

• Lead end‑to‑end IPO, de‑SPAC and other capital‑markets engagements, from readiness assessments through execution and post‑transaction public‑company operations.
• Manage accounting and financial‑reporting workstreams for SEC filings (S‑1, S‑4, 10‑K, 10‑Q), PCAOB requirements, and related comment‑letter responses.
• Coordinate with client management, underwriters, legal counsel and auditors to resolve transaction issues and maintain momentum.
• Advise on complex accounting topics such as business combinations, carve‑outs, revenue recognition, leases, and GAAP conversions.

Required profile

• Bachelor’s or Master’s in Accounting; CPA strongly preferred.
• 10+ years of experience in public accounting, accounting advisory, or transaction advisory, with extensive client‑facing leadership.
• Proven ability to lead senior‑level engagements and develop junior talent.
• Willingness to travel up to 30% to meet client needs.

Required skills

• Advanced knowledge of US GAAP and SEC reporting requirements (Regulation S‑X, Article 11).
• Hands‑on experience preparing S‑1, S‑4, 10‑K, 10‑Q filings and SEC pre‑clearance submissions.
• Familiarity with IFRS, PCAOB financial‑statement standards, and public‑company internal‑control frameworks.
• Experience with M&A, carve‑outs, IPOs, de‑SPAC transactions and related accounting complexities.
