Attorney/Lawyer – Commercial Agreements in Life Sciences

About the role

This position focuses on reviewing, drafting, and negotiating commercial agreements within a life‑sciences environment. The attorney will support acquisition‑related integration and cross‑border business operations while ensuring compliance with regulatory and corporate standards.

Key responsibilities

• Examine a wide range of commercial contracts, including master service agreements, statements of work, amendments, and assignment documents.
• Prepare, revise, and negotiate contract language to align with business objectives and protect legal interests.
• Provide guidance on contract matters tied to acquisition‑related entity integration and ongoing obligations across multiple units.
• Collaborate with internal legal, compliance, and operations teams to resolve agreement issues and support timely execution.
• Assess contractual risk, recommend practical solutions, and ensure alignment with internal policies and external regulations.
• Support diligence follow‑up activities and contribute to legal work related to completed or ongoing acquisitions.
• Interpret complex agreement provisions and clearly communicate legal implications to business stakeholders.

Required profile

• Juris Doctor degree and active bar admission in good standing.
• Demonstrated experience handling commercial contracts within the life‑sciences sector.
• Background in acquisition‑related legal work, including multi‑entity structures and post‑closing integration.
• Strong understanding of contract risk assessment, regulatory compliance, and due‑diligence review.
• Ability to manage multiple priorities with strong organization and attention to detail.
• Effective communication skills and collaborative approach in a deadline‑driven environment.
