Associate Counsel

About the role

Sprout is seeking an Associate Counsel to join its Legal & Compliance team. Reporting to the General Counsel, you will be the second member of a fast‑growing in‑house legal function, supporting a global IT hardware retirement business.

Key responsibilities

• Draft, review and negotiate a wide range of commercial agreements, including customer contracts, vendor agreements, NDAs and partnership arrangements.
• Maintain and enhance the legal function’s operational infrastructure, such as contract templates, playbooks, clause libraries and legal technology platforms.
• Provide legal guidance on compliance, regulatory matters, data privacy and security, real estate, and labor and employment law.
• Act as a solutions‑oriented legal resource for cross‑functional teams (operations, sales, finance, HR), enabling business outcomes while managing risk.
• Assist with corporate governance activities, including entity management and general corporate housekeeping.
