Middle Legal Counsel – Commercial Contracts

About the role

Trinetix is seeking a Middle Legal Counsel to manage a wide range of legal matters across its international technology business. The role focuses on drafting, reviewing, and negotiating commercial contracts while also supporting intellectual property, corporate, compliance, and privacy issues.

Key responsibilities

• Draft, review and negotiate contracts such as MSAs, SOWs, NDAs, DPAs, SaaS, licensing and vendor agreements.
• Lead contract negotiations with clients, vendors and external counsel independently.
• Identify legal and commercial risks, propose practical solutions and fallback positions.
• Provide legal advice to internal teams on cross‑jurisdictional matters, especially in the US and Europe.
• Support IP matters including software ownership, licensing, copyright and trademarks.
• Assist with corporate, compliance, privacy and other day‑to‑day legal issues.
• Conduct legal research and deliver clear, concise advice.

Required profile

• Master’s degree in Law.
• 3+ years of relevant experience, preferably in an IT or technology company.
• Strong background in drafting and negotiating commercial and technology contracts governed by US or English law.
• Advanced English and Ukrainian language skills.

Required skills

• Experience with generative AI tools in legal work.
• Knowledge of ISO 27001, ISO 27701, SOC 2 and NIST security and privacy frameworks.
• Familiarity with AI‑assisted development or legal‑tech automation tools.
