Chief Legal Officer (CLO) – Senior Legal Leader

About the role

Fortitude is seeking a senior legal leader to serve as Chief Legal Officer or Head of Legal. Reporting to the CEO and working closely with the Board, this executive will guide all legal, regulatory, governance and compliance matters for the company’s venture‑mining operations.

Key responsibilities

• Develop and implement corporate legal strategies that protect and advance the business.
• Oversee delivery of legal services, including drafting and negotiating leases, hosting agreements, power purchase agreements, construction contracts and other commercial documents.
• Lead preparation, review and filing of SEC reports and disclosures, and manage ongoing public‑company reporting obligations.
• Provide counsel on securities law, public‑company readiness, financing activities and strategic transactions such as M&A, joint ventures and capital‑market deals.
• Advise on energy, power and infrastructure matters, including power purchase agreements and site acquisitions.
• Coordinate with internal teams and external counsel to support risk management and compliance programs.

Required profile

• Extensive experience leading a corporate legal function, including governance, compliance and securities‑law disclosures.
• Proven track record guiding companies through public‑company preparation, strategic transactions or complex corporate events.
• Ability to provide strategic legal advice to CEOs, Boards and senior leadership.
• Based in the Eastern United States; remote work with occasional travel to Fairport, NY and Stamford, CT.
