Attorney – Commercial Contracts

About the role

We are seeking a licensed attorney to join a leading IT software organization in Raleigh, North Carolina. The role is a contract position with the potential to become permanent, focusing on the full lifecycle of commercial agreements. You will work closely with cross‑functional teams to ensure contracts align with business goals and legal standards.

Key responsibilities

• Prepare, evaluate, and negotiate software licensing, service contracts, NDAs, and vendor agreements.
• Partner with sales, finance, procurement, and product teams to align contract language with objectives.
• Administer the contract repository, track renewal dates, and monitor compliance.
• Advise stakeholders on contractual risk, legal exposure, and resolution strategies.
• Review IP, confidentiality, privacy, data protection, and limitation of liability provisions.
• Ensure agreements meet company standards and applicable laws.
• Research legal and regulatory developments affecting technology contracts.
• Support internal compliance reviews, audits, and process improvements.

Required profile

• Active license to practice law and membership in good standing with a state bar.
• Minimum 3 years of corporate contract management experience.
• Proven ability to draft, revise, and negotiate commercial and technology agreements.
• Experience with contract lifecycle management systems.
• Strong written and verbal communication skills.
• Excellent organizational abilities and attention to detail.
• Ability to work independently and collaboratively in a fast‑paced environment.
