M&A Paralegal – Remote (FL/GA/SC) with Travel to Longwood

About the role

The M&A Paralegal will provide legal, transactional, and compliance support to the Legal Department and M&A team, focusing on acquisition activity, entity management, and insurance agency operations. This fully remote role is open to candidates in Florida, Georgia, or South Carolina and requires monthly travel to Longwood, FL.

Key responsibilities

• Maintain deal checklists, coordinate execution packages, manage closing activities, and track post‑closing deliverables for M&A transactions.
• Draft, review, route, and maintain legal agreements, contract repositories, templates, and version‑controlled documentation.
• Prepare and file entity registrations, annual reports, corporate resolutions, and governance records for existing and acquired entities.
• Assist with agency licensing, renewals, appointments, regulatory filings, and compliance‑related activities.
• Research insurance regulations, licensing requirements, and monitor regulatory changes, communicating key updates.
• Support E&O claims, litigation holds, subpoenas, carrier inquiries, discovery requests, and regulatory notices while tracking deadlines.
• Assist internal audits, compliance reviews, risk‑management initiatives, and related documentation.
• Prepare reports, summaries, correspondence, briefings, and presentation materials for Legal, M&A, and executive leadership teams.

Required profile

• 2–5 years of paralegal experience, preferably in M&A or corporate transactions.
• Ability to work remotely with a dedicated, distraction‑free workspace.
• Willingness to travel monthly to Longwood, FL.
• Strong organizational skills and attention to detail.
