Senior Legal Counsel - Commercial

About the role

XBOW is seeking a Senior Legal Counsel to lead commercial legal work across the company. You will partner with Sales, Finance, Product, Engineering and Security teams to structure agreements, close deals and provide practical legal guidance as the business scales.

Key responsibilities

• Lead commercial negotiations and draft, review, and negotiate enterprise customer agreements, SaaS licences, proof‑of‑concept contracts, partnership and reseller arrangements, procurement contracts and data processing agreements.
• Collaborate with Sales and Finance on deal structure, negotiation strategy and escalations to support revenue growth while managing risk.
• Advise on AI‑related commercial issues, including data use, model‑training restrictions, IP ownership, confidentiality, warranties, liability and third‑party AI provider terms.
• Support product development and launches by assessing legal considerations for new capabilities and translating them into customer terms.
• Define contractual testing permissions, scope, acceptable use and handling of vulnerability findings for offensive security services.
• Develop templates, negotiation playbooks, approval workflows and guidance to improve contract turnaround and consistency.
• Provide practical training, make legal advice accessible and coordinate specialist external counsel when needed.

Required profile

• 7+ years of commercial legal experience with substantial responsibility for drafting and negotiating complex technology agreements.
• Prior in‑house experience in a technology or AI‑focused startup environment.
• Demonstrated ability to lead negotiations independently, navigate uncertainty and build scalable legal processes.
