Senior Legal Counsel – Commercial & Government Contracts

About the role

The Senior Legal Counsel will lead a broad range of commercial and government contracting activities for a global engineering leader. You will provide strategic legal advice, ensure compliance with complex regulatory frameworks, and support the business in mitigating risk across domestic and international transactions.

Key responsibilities

• Draft, review, and negotiate complex commercial agreements, supporting sales and service of company products.
• Provide contract interpretation, risk assessments, and advisory support under UCC, Incoterms, FAR/DFARS, and related regulations.
• Advise internal stakeholders on foreign and domestic government contracting matters, including small‑business subcontracting obligations.
• Monitor legislative, regulatory, and judicial developments; liaise with regulatory agencies and manage export‑control compliance.
• Manage litigation and pre‑litigation matters, oversee outside counsel, and develop dispute‑management strategies.
• Promote a culture of compliance aligned with the Rolls‑Royce Code of Conduct and integrate legal guidance into business decisions.

Required profile

• Extensive experience in commercial contract drafting and negotiation.
• Deep knowledge of UCC, Incoterms, FAR/DFARS, and export‑control regulations.
• Proven ability to advise senior business leaders on legal and regulatory risk.
• Experience managing litigation, coordinating outside counsel, and developing dispute‑resolution strategies.
• Strong collaboration skills to work with global legal teams and cross‑functional business partners.
