Senior Legal Counsel – Commercial & Government Contracts

About the role

We are seeking a Senior Legal Counsel to lead commercial and government contracting activities for a global engineering company. The role involves drafting, reviewing, and negotiating complex agreements while providing strategic legal advice across a range of regulatory environments.

Key responsibilities

• Lead international and domestic commercial contracting, including drafting and negotiating complex commercial agreements.
• Support procurement by reviewing and negotiating contracts for direct and indirect purchases using company and vendor templates.
• Provide strategic contract interpretation, risk assessments, and ensure compliance with the Uniform Commercial Code (UCC) and Incoterms.
• Advise on foreign and domestic government contracts, ensuring compliance with FAR/DFARS, supply‑chain requirements, and small‑business subcontracting obligations.
• Monitor legislative, regulatory, and judicial developments; liaise with regulatory agencies and advise on emerging trends.
• Manage export controls and sanctions, coordinating with the U.S. Department of State and Department of Commerce.
• Oversee litigation and pre‑litigation matters, managing outside counsel and discovery processes.
• Promote a culture of compliance aligned with the Rolls‑Royce Code of Conduct and collaborate with global legal teams.

Required profile

• Senior‑level legal professional with extensive experience in commercial and government contracting.
• Strong knowledge of UCC, Incoterms, FAR/DFARS, and export control regulations.
• Proven ability to provide strategic legal advice, risk assessment, and compliance guidance.
• Experience managing litigation, dispute resolution, and coordinating with external counsel.
• Excellent communication skills and ability to work cross‑functionally in an international environment.
