About the role
The Managing Counsel serves as the senior-most legal and compliance leader for the Allegiance business, advising executive leadership and shaping risk‑aware strategies. This VP‑level position partners with Cigna counsel and enterprise leaders to protect the organization’s reputation and fiduciary responsibilities.
Key responsibilities
- Provide strategic, practical legal counsel to senior leadership across business lines, balancing risk with business priorities.
- Lead legal and regulatory support, monitor developments, and act as liaison with regulators and external partners.
- Oversee outside‑counsel engagement, performance, and spend to ensure cost‑effective services.
- Guide legal and compliance matters across sales, client onboarding, RFPs, contracting, and operations.
- Review, draft, and negotiate complex agreements (vendor, provider, BAA, licensing) and set contracting standards.
- Support corporate governance, entity management, filings, and documentation.
- Manage regulatory inquiries, complaints, and data requests with timely, accurate responses.
- Provide legal oversight for appeals, subrogation, overpayments, and Medicare secondary payer issues.
- Lead and enhance the compliance program, including HIPAA privacy and security, training, monitoring, investigations, and incident response.
- Develop and mentor Legal and Compliance team members, including direct oversight of the Compliance Director.
Required profile
- 10+ years of progressive legal experience, preferably within a TPA, health plan, or highly regulated healthcare environment.
- Direct TPA experience strongly preferred with deep understanding of operations and regulatory requirements.
- Proven ability to lead and develop teams, coach, influence, and drive performance.
- Executive presence with strong communication skills for senior leadership and external stakeholders.
- Extensive knowledge of ERISA, HIPAA, insurance/TPA operations, contracting, and employment law.
- Experience designing and managing compliance programs, including policy development, training, monitoring, and investigations.
- Exceptional judgment and risk‑based legal guidance in complex environments.
