Legal Lead – Subcontracts

About the role

The Legal Lead (Subcontracts) will act as the primary bridge between Supply Chain and the Office of the General Counsel (OGC) to streamline contractual and compliance matters. This on‑site position supports purchasing professionals and program managers across multiple Texas locations.

Key responsibilities

• Serve as the main liaison between Supply Chain and OGC for subcontract issues.
• Advise on novation/assignments, software licensing (commercial and open‑source), IP provisions, teaming and proprietary information agreements.
• Review and refine submissions to OGC to ensure clarity, completeness, and proper context.
• Identify opportunities to resolve matters within Supply Chain, reducing unnecessary legal escalations.
• Support tracking and visibility of issues routed to OGC and partner with OGC for timely resolutions.
• Provide guidance and best‑practice recommendations to Supply Chain personnel on contractual risks such as warranty interpretation, limitation of liability, termination clauses, and indemnification.

Required profile

• Deep expertise in contract terms and conditions, especially related to subcontracts.
• Strong understanding of Supply Chain processes and ability to translate complex legal concepts into actionable guidance.
• Highly collaborative, influencing stakeholders without direct authority.
• Commitment to consistent application of OGC engagement policies.
