Legal Counsel

About the role

Cloud Capital, a global investment management firm focused on data center acquisitions and operations, is seeking a Legal Counsel to provide high‑quality legal support across its core business areas. The role is ideal for a commercially‑minded attorney who thrives in a fast‑paced, entrepreneurial environment and can work autonomously.

Key responsibilities

• Lead legal support for multiple concurrent transactions, including real‑estate acquisitions, corporate M&A, joint ventures, and debt financing in the United States.
• Manage external counsel and provide post‑acquisition legal support.
• Draft, negotiate, and coordinate construction‑related agreements such as building contracts, consultancy appointments, framework agreements, and power supply agreements.
• Negotiate and manage commercial leases, SNDAs, and tenant disputes with assistance from external counsel.
• Provide strategic legal advice to executives and senior management to support business objectives and risk management.
• Support fund‑related negotiations, including fund terms and investor side letters.
• Handle general in‑house matters: vendor agreements, entity formation, NDAs, employment issues, contract renewals, and authorized signatory duties.
• Coordinate external legal, finance, and tax advisers, ensuring cost‑efficient, high‑quality advice.
• Advise on federal and state regulatory matters, including CFIUS, and support compliance with investment‑adviser standards.

Required profile

• Current member of a State Bar Association.
• Juris Doctor from an ABA‑accredited law school.
• Minimum six years of experience in the corporate team of a top‑tier law firm or a comparable environment.
• Commercial or in‑house experience is a plus but not mandatory.
