Director, Legal – Corporate Transactions

About the role

The Legal Counsel, Corporate Transactions provides strategic legal counsel and transaction support for a broad range of complex business development and corporate transactions, including M&A, divestitures, joint ventures, licensing and collaborations across multiple divisions.

Key responsibilities

• Partner with business development, licensing, senior management and cross‑functional teams on complex transactions across Corporate, R&D, Human Health, Manufacturing and Animal Health divisions.
• Lead or support structuring, due diligence, negotiation and documentation of M&A, divestitures, joint ventures, licensing, collaborations, manufacturing, supply and technology agreements.
• Identify and communicate material legal and business risks, develop mitigation strategies and drive timely decisions.
• Manage outside counsel, coordinate internal stakeholders and oversee transaction workstreams to closing.

Required profile

• Juris Doctor from an accredited U.S. law school and active bar membership in at least one U.S. state or D.C.
• Minimum four years of transactional legal experience in law firm or corporate setting.
• Proven ability to draft and negotiate sophisticated agreements and manage multiple complex transactions.
• Strong business acumen, analytical skills and ability to work under demanding timelines.

• Salary range $210,400 – $331,100 per year.
