Corporate & Securities Associate (Public Company Advisors Team)

About the role

Womble Bond Dickinson is seeking a mid‑to‑senior level associate to join its Corporate & Securities Practice Group within the Public Company Advisors Team. The role will be based in one of the firm’s U.S. offices and will involve working on a variety of public company transactions and compliance matters.

Key responsibilities

• Assist with 1933 Act equity and debt securities offerings.
• Handle 1934 Act matters, including proxy statements and periodic reporting on Forms 8‑K, 10‑K, and 10‑Q.
• Prepare and review Section 16 reporting and related disclosures.
• Collaborate with multi‑office teams to serve public company and other corporate clients.
• Provide transactional support and counsel throughout the deal lifecycle.

Required profile

• Minimum of 4 years of corporate and securities experience in a large regional or national law firm.
• Strong academic credentials and excellent written and oral communication skills.
• Licensed to practice law in the relevant jurisdiction or able to obtain a license promptly.

Required skills

• Experience with 1933 Act equity and debt securities offerings.
• Familiarity with 1934 Act compliance, proxy statements, and SEC reporting forms.
• Knowledge of Section 16 reporting requirements.
