Corporate Legal Counsel

About the role

COMC is seeking a hands‑on Corporate Legal Counsel to join a lean legal team and support the General Counsel across a broad spectrum of legal and operational matters. This full‑time, hybrid position offers the opportunity to own day‑to‑day legal workstreams while collaborating on complex issues that shape company‑wide priorities.

Key responsibilities

• Draft, review, and negotiate commercial agreements such as vendor contracts, MSAs, NDAs, SaaS/technology agreements, consignment and marketplace agreements, licensing deals, and product terms of service.
• Maintain the contract lifecycle from intake through execution, storage, and renewal tracking, and develop standard form agreements and playbooks.
• Support M&A and financing transactions, including diligence, representation, warranty review, and ancillary documentation.
• Design and implement scalable legal operations infrastructure, including matter tracking, intake workflows, contract repository, and vendor management.
• Identify and integrate legal tech solutions (CLM, e‑signature, project‑management tools) and build internal SOPs, policy templates, and guidance documents.
• Coordinate with outside counsel on complex matters and manage billing and budgets.
• Monitor regulatory compliance in privacy, employment, e‑commerce, and marketplace areas, and support IP protection, trademark registration, and licensing.

Required profile

• Licensed attorney with a generalist background capable of moving fluidly between contract drafting, compliance checklist creation, intake process design, and employment advice.
• Demonstrated ability to work independently, prioritize tasks, and know when to escalate matters to senior counsel.
• Strong organizational skills and a proactive approach to building legal processes in a fast‑growing environment.
