Job description
About the role
Barclays is hiring a Corporate Development Director (Risk Transfer) for its Strategy team, based in Wilmington or New York. The role evaluates, structures and executes strategic transactions and initiatives that support the US Consumer Bank's growth, risk management, portfolio optimization, capital efficiency and financial objectives. It combines rigorous financial analysis, commercial judgment and cross-functional leadership to support senior management decisions on risk transfer, portfolio transactions, strategic partnerships and other corporate development activities.
Key responsibilities
- Lead the evaluation and execution of risk transfer, portfolio optimization, strategic partnership and other corporate development initiatives.
- Develop financial models, valuation analyses, business cases and strategic assessments of transaction economics, risks and alternatives.
- Support structuring and negotiation of transactions, including commercial terms, risk allocation and execution requirements.
- Lead due diligence and coordinate transaction execution across Finance, Treasury, Risk, Legal, Compliance, Tax, Operations and business teams.
- Assess portfolio performance, credit exposure, funding implications and risk-adjusted returns, and quantify capital impacts (RWA, CET1, leverage, capital relief, return on capital).
- Evaluate capital-optimization alternatives such as risk transfer, portfolio sales, forward-flow and partnership structures.
- Analyze market conditions, investor appetite, competitors and regulatory developments affecting transactions.
- Prepare recommendations, governance materials and executive presentations for senior management and approval forums.
- Manage day-to-day interactions with financial institutions, investors, partners, advisors and consultants, and identify and mitigate transaction risks.
- Monitor approved transactions through implementation and oversee post-execution management of live risk transfer transactions, including credit quality monitoring, performance reporting, amendments and audit support.
- Lead engagements with credit rating agencies, law firms and other advisors on new risk transfer transactions.
Required profile
- Bachelor's degree in Finance, Economics, Accounting, Business Administration, Mathematics, Engineering or another quantitative discipline; MBA, CFA, CPA or another advanced degree or designation preferred.
- Significant experience in corporate development, investment banking, structured finance, capital markets, portfolio management, risk transfer, M&A or a related financial-services discipline.
- Demonstrated experience evaluating and executing complex strategic transactions, portfolio acquisitions or divestitures, and leading structured transactions such as asset sales, portfolio transfers, securitizations and risk transfer structures.
- Experience assessing capital, RWA and return-on-capital implications of transactions, and leading complex workstreams in a highly regulated, matrixed organization.
- Ability to influence and collaborate with senior stakeholders across Finance, Treasury, Risk, Legal, Compliance, Tax and Operations, and to work with external counterparties, investors and advisors.
- Leadership of cross-functional initiatives without direct reporting authority, mentoring junior colleagues and operating in ambiguous situations.
Required skills
- Advanced financial modeling, valuation and transaction analysis; strong understanding of consumer banking products, credit portfolios, funding and capital considerations.
- Knowledge of transaction structuring, due diligence, commercial negotiation and execution; regulatory capital frameworks (RWA, CET1, leverage, stress-capital) and modeling of capital relief and efficiency.
- Risk assessment of strategic, financial, credit, operational, legal, regulatory and reputational risks; ability to analyze consumer asset data and credit rating agency processes.
- Excellent written and verbal communication, project management and problem-solving; advanced Excel, with R and/or Python preferred.
