Corporate Counsel – Commercial Contracts

About the role

We are looking for an experienced Corporate Counsel specializing in commercial contracts to join our legal team. Based in Nashville, TN, Fremont, CA, or remotely, you will act as a strategic partner to business leaders, providing pragmatic, solutions‑oriented advice on complex transactions.

Key responsibilities

• Partner with business unit leaders to deliver sound legal advice and risk mitigation.
• Draft, negotiate, and review commercial and ancillary agreements.
• Support the commercial legal team and other internal stakeholders with authoritative guidance.
• Identify and implement process improvements, updating internal playbooks and templates.
• Manage internal service level agreements and prioritize work in a fast‑moving environment.
• Lead specific legal projects and develop expertise on customer contract issues.
• Review solicitations, devise response strategies, and draft legally sensitive sections.
• Select and manage outside counsel when required.
• Assist commercial contracts personnel with high‑risk terms such as liability limits, indemnification, and termination clauses.
• Contribute to department discussions on corporate policies, regulatory changes, and continuing education.

Required profile

• Juris Doctorate from an accredited law school.
• Active license to practice law in at least one U.S. state.
• 6–8 years of legal experience, including law firm and in‑house roles.
• Proven ability to advise executive clients on business and transactional matters.
• Leadership experience within a technology‑driven organization.
• Hands‑on generalist approach with strong interpersonal and communication skills.
