Corporate Associate – M&A, Private Equity & Capital Markets

About the role

We are recruiting mid‑level corporate associates for three top global law firms in New York. The role offers the chance to work on high‑profile, cross‑border transactions for leading private equity sponsors, sovereign wealth funds and major corporations.

Key responsibilities

• Advising on M&A and private equity deals, drafting purchase and merger agreements, and managing due diligence across tax, finance and regulatory teams.
• Assisting issuers and underwriters with public and private securities offerings, including IPOs, follow‑on equity, and debt issuances, and preparing prospectuses and registration statements.
• Supporting the formation and structuring of investment funds, working with GPs, LPs and investment managers on fund documentation and governance.

Required profile

• 3–6 years of post‑qualification experience at an AmLaw 100, Magic Circle or Silver Circle firm.
• Strong transactional background in at least one area: M&A, private equity, capital markets, securities or investment funds.
• Excellent academic credentials and admission to the Bar.
• Comfortable handling large, complex, multi‑jurisdictional matters.
