Associate General Counsel - Institutional Asset Management

About the role

A leading asset manager is seeking an Associate General Counsel (Investment Management Attorney) to advise and support its institutional asset management business on legal, regulatory and general corporate matters. The role primarily supports a U.S. registered investment adviser and commodities trading adviser covering equity, fixed income and multi-asset strategies, and is based in the New York City offices.

Key responsibilities

• Structure, form and advise on private funds, including open-ended funds, closed-end funds and funds-of-one, with ongoing support
• Advise on investment advisory services to institutional separate account clients, including negotiating investment advisory agreements
• Advise on the structuring, development and distribution of products and investment vehicles in the U.S. and abroad
• Negotiate agreements with service providers and counterparties
• Review requests for proposals, client questionnaires and institutional marketing materials
• Advise on public and private securities and loan trading issues
• Work closely with the Legal and Compliance Department globally and other control functions
• Supervise and work effectively with outside counsel

Required profile

• At least 8-10 years' experience, including 5+ years in the fund formation group of a large law firm
• Extensive knowledge of the Investment Advisers Act of 1940 and other regulatory frameworks for private funds, including the Investment Company Act of 1940, the Securities Act of 1933, the Securities Exchange Act of 1934 and the Commodity Exchange Act (including CFTC/NFA issues)
• Familiarity with ERISA is preferred
• Ability to communicate with senior management and investment professionals, and to work independently and meet deadlines
• Authorization to work in the United States without current or future sponsorship
