Head of Legal

About the role

Prime Intellect is building the open superintelligence stack and needs a strategic legal leader to shape the legal architecture that underpins its commercial and technical operations. As Head of Legal you will own the end‑to‑end legal function, partnering directly with senior leadership on contracts, governance, fundraising, IP, and regulatory matters.

Key responsibilities

• Design, negotiate, and manage commercial contracts with customers, compute providers, and datacenter operators, including MSAs, DPAs, order forms, and vendor financing agreements.
• Build and maintain contract templates, playbooks, and a contract lifecycle management (CLM) system to scale deal flow efficiently.
• Oversee corporate governance activities such as board materials, equity grants, cap table management, and governance cadence.
• Lead legal workstreams for fundraising rounds, including term sheet negotiation and compliance.
• Develop and execute IP and open‑source strategies, and define regulatory positioning for the company.
• Establish outside‑counsel relationships, compliance posture, and operational systems that allow the legal function to scale with the business.

Required profile

• Proven experience building and leading a legal function in a high‑growth technology or AI company.
• Deep expertise in commercial contracts, corporate governance, fundraising, and IP law.
• Ability to create playbooks, templates, and legal infrastructure from scratch.
• Strong partnership skills with sales, product, and engineering leadership.
