Corporate Paralegal

About the role

Coolidge Wall Co., L.P.A. is seeking an experienced Corporate M&A Paralegal to join its Dayton, Ohio office. This full‑time, on‑site position supports a team of respected attorneys on a variety of corporate transactions.

Key responsibilities

• Coordinate due diligence, including managing electronic data rooms for mergers, acquisitions, dispositions and financing deals.
• Prepare closing checklists, closing binders and oversee the closing process for corporate transactions.
• Review and summarize UCC, judgment, tax and other lien searches.
• Prepare and file corporate documents such as certificates of incorporation, merger and dissolution filings, corporate resolutions and UCC financing statements.
• Maintain client minute books and manage corporate records.

Required profile

• 5+ years of high‑level corporate transactional experience.
• Associate or Bachelor’s degree, or equivalent significant experience.
• Excellent communication skills and strong attention to detail.
• Ability to work independently, multitask and prioritize assignments.
