About the role
Code Metal is building provably correct software for critical customers, including the U.S. Air Force and major defense contractors. As the second hire on the legal team, you will partner directly with business development, proposal, and engineering groups to secure and expand government contracts while shaping the company’s legal framework.
Key responsibilities
- Drive growth by negotiating and managing new and existing U.S. government contracts, leveraging deep knowledge of federal procurement law.
- Draft, review, and negotiate a wide range of commercial agreements such as software license, SaaS, MSA, professional services, reseller, teaming, subcontracts, NDAs, and data processing agreements.
- Advise on U.S. Government terms, including OTAs, FAR, DFARS, agency supplements, flow‑down clauses, and related cybersecurity, data‑rights, and privacy regulations.
- Build and maintain a scalable government‑contracts compliance program with policies, templates, and playbooks covering FAR/DFARS, OTAs, SBIR/STTR, and other procurement authorities.
- Develop high‑trust relationships with contracting officers and procurement officials at federal agencies.
Required profile
- J.D. from an accredited law school and active bar membership in California, D.C., or Massachusetts.
- 5–7 years of experience in U.S. government contracts and/or commercial technology transactions, preferably a mix of law‑firm, in‑house, and government work.
- Demonstrated ability to draft and negotiate technology, software licensing, or SaaS agreements in a fast‑moving environment.
- U.S. Person status for access to export‑controlled information (ITAR/EAR).
Required skills
- Federal procurement law and contract vehicles (FAR, DFARS, OTAs, GSA schedules, GWACs, IDIQs).
- Cybersecurity and compliance frameworks (FedRAMP, CMMC, NIST SP 800‑171).
- Export control regulations (ITAR, EAR).
- Data‑rights and privacy regulations for federal software and services contracts.
