Senior Legal Counsel – Vice President, Securitization

About the role

Santander’s Corporate and Investment Banking (CIB) Securitized Products Group is seeking a Vice President‑level Senior Legal Counsel to provide comprehensive legal support for its banking, lending, and capital‑markets transactions across a broad range of asset classes.

Key responsibilities

• Provide legal coverage for securitization transactions, including RMBS, CMBS, ABS and CLOs, and advise on residential whole‑loan trading where applicable.
• Review, negotiate and draft core deal documents such as loan agreements, repo agreements, offering documents, underwriting/placement agreements, term sheets, commitment letters and confidentiality agreements.
• Advise CIB on its role as underwriter, structurer, arranger, book‑runner and placement agent for public and private securities offerings.
• Monitor and interpret U.S. securities laws (e.g., Securities Act of 1933, Securities Exchange Act of 1934), U.S. banking regulations and related state and federal statutes.
• Support other lawyers and handle overflow work from additional business lines as needed.

Required profile

• J.D. degree and admission to the bar in good standing in the relevant U.S. jurisdiction.
• Minimum of 4 years of relevant experience at a law firm and/or in‑house legal department.
• Demonstrated expertise in financing and securitization transactions.

Required skills

• Knowledge of securitized product structures (RMBS, CMBS, ABS, CLOs).
• Experience drafting and negotiating loan, repo, and securities offering documents.
• Familiarity with U.S. securities statutes (1933 Act, 1934 Act) and banking regulations.
• Ability to advise on complex capital‑markets transactions and regulatory compliance.
