Senior Counsel, Corporate

About the role

Invesco is seeking a Senior Counsel to lead corporate securities reporting and compliance for its public company obligations. The role will support the legal team, executive management, and investor relations across a range of regulatory and transactional matters.

Key responsibilities

• Prepare and file SEC reports (10‑Q, 10‑K, 8‑K, proxy statements) and manage Section 16 filings (Forms 3, 4, 5).
• Develop and maintain policies to ensure compliance with the Securities Act, Sarbanes‑Oxley, Dodd‑Frank, NYSE listing standards and other applicable regulations.
• Oversee corporate governance activities, including drafting board and shareholder meeting materials and recording minutes.
• Support Reg FD disclosures, reviewing press releases and investor presentations in collaboration with IR and communications teams.
• Lead legal due diligence, draft and negotiate M&A transaction documents, coordinate closings and manage outside counsel.
• Advise senior management on treasury matters, including public stock and debt issuances and refinancing.

Required profile

• 3–5 years of substantive experience in federal securities law, corporate governance, and SEC reporting.
• 3–5 years of experience handling mergers and acquisitions or other corporate transactions.
• Strong business judgment, ability to work independently and collaboratively, and excellent drafting abilities.
