Legal Counsel

About the role

Aviat Networks, a global leader in wireless transmission systems, is seeking a proactive Legal Counsel to join its corporate legal team. Reporting directly to the General Counsel, you will play a pivotal role in supporting the company’s public‑company obligations, global subsidiary operations, and strategic initiatives.

Key responsibilities

• Prepare and file SEC documents, including annual reports and proxy statements.
• Draft board and committee resolutions, meeting minutes, and manage annual shareholder meetings.
• Oversee corporate governance activities such as director onboarding and annual evaluations.
• Support the company’s intellectual property portfolio and related filings.
• Provide legal assistance throughout M&A transactions, from NDAs to due‑diligence and closing logistics.
• Coordinate post‑closing integration of legal functions.
• Maintain corporate compliance for domestic and international subsidiaries, including registrations and cross‑border coordination.
• Assist with internal investigations and advise on ethics, anti‑bribery, and conflict‑of‑interest matters.
• Manage litigation and dispute resolution, working with external counsel as needed.

Required profile

• Licensed attorney with substantial experience in securities law and corporate governance.
• Demonstrated ability to support public‑company reporting and SEC filing requirements.
• Strong background in M&A, intellectual property, and cross‑functional legal support.
• Excellent written and verbal communication skills, with experience interacting with senior leadership and boards.
• Detail‑oriented, proactive, and capable of handling high‑visibility, deadline‑driven work.

Required skills

• Knowledge of SEC filing processes and proxy statement preparation.
• Experience drafting board resolutions, meeting minutes, and corporate governance documents.
• Familiarity with intellectual property management and M&A transaction documentation.
• Understanding of anti‑bribery, ethics, and compliance frameworks.
• Litigation coordination and management of external counsel.
