Legal Counsel – Fund Attorney

About the role

The company, a leading global fintech and investment platform, is seeking an experienced Fund Attorney to join its growing legal team. The role focuses on U.S. and Cayman private funds, supporting fund formation, regulatory compliance, capital raising, and ongoing operations.

Key responsibilities

• Draft, review, and negotiate agreements with fund managers, distribution partners, and other counterparties.
• Prepare and review private fund offering documents, partnership agreements, and related legal materials.
• Advise internal stakeholders on legal and regulatory implications of products and services.
• Provide guidance on fund formation, structuring, marketing, and investor‑related matters.
• Coordinate with external counsel on regulatory, corporate, and investment issues.
• Support regulatory filings and conduct legal research on investment management topics.
• Collaborate with cross‑functional teams to deliver practical, commercially focused legal solutions.

Required profile

• Juris Doctor (JD) from an accredited law school.
• Active bar membership in at least one U.S. jurisdiction.
• 4+ years of experience in investment management, focusing on private funds and fund formation.
• Strong knowledge of the Investment Company Act of 1940, Investment Advisers Act of 1940, Securities Act of 1933, Securities Exchange Act of 1934, and FINRA regulations.
• Experience with U.S. and Cayman private fund structures preferred.
• Prior law‑firm or in‑house asset‑management experience advantageous.
• Excellent drafting, negotiation, analytical, and stakeholder‑management skills.
