Director & Senior Counsel, M&A and Strategic Investments

About the role

Applied Materials is seeking a Director & Senior Counsel to lead M&A and strategic investment initiatives. The role partners with business leaders to evaluate, structure, and execute transactions that advance the company’s technology portfolio. You will drive due‑diligence, legal analysis, and integration efforts across a global, fast‑moving environment.

Key responsibilities

• Coordinate internal and external counsel due‑diligence reviews, perform target assessments, and present findings.
• Provide legal analysis and advice on deal structures.
• Draft, negotiate, and finalize various transaction documents.
• Assist in the preparation and structuring of divestitures.
• Lead deal‑team integration functions and coordinate law‑department integration teams.
• Develop, implement, and improve playbooks, processes, and training programs.

Required profile

• J.D. from an accredited law school and an active license to practice law in at least one U.S. jurisdiction.
• Recognized as a “guru” or external expert in the M&A function.
• Demonstrates broad expertise in leading‑edge legal theories, techniques, and technologies.
• Influences internal and external business or regulatory issues impacting the company.
• Leads highly visible multidisciplinary project teams and provides thought leadership.
• Proactively identifies and solves complex problems using innovative methods.

• Salary range: $212,000 – $291,500 per year.
