Contract Advisor – Procurement & Legal Drafting

About the role

We are seeking a Contract Advisor to support Vanguard’s third‑party supplier legal drafting and contracting activities. The role will focus on reviewing, drafting and negotiating procurement contracts, ensuring commercial and legal compliance.

Key responsibilities

• Efficiently review, draft and negotiate contracts from a commercial perspective in collaboration with the Office of General Counsel.
• Interpret and educate stakeholders on commercial and legal requirements, obligations and risk exposures.
• Communicate contract terms in clear, plain language to business units and partners.
• Identify risk areas such as information security, intellectual‑property infringement, financial and privacy exposure for review by relevant stakeholders.
• Follow documented contracting processes, engage key stakeholders and apply technical understanding of contractual terms.
• Work swiftly to ensure contracts are negotiated and executed accurately and on schedule.
• Maintain quality‑control standards and a close working relationship with Vanguard’s commercial legal counsel and subject‑matter experts.
• Align contract language with business group requirements.
• Participate in special projects and perform additional duties as assigned.

Required profile

• Undergraduate degree or equivalent experience.
• Law Degree/J.D. required.
• 3‑5 years of experience in a fast‑paced commercial contracting environment.
• Technical understanding of contractual terms.
• Proven ability to lead commercial contract negotiations.
• Excellent attention to detail, analytical, drafting and communication skills.
• Strong client‑service orientation and ability to collaborate with cross‑functional stakeholders.
