About the role
Zeno Power is seeking a detail‑oriented, proactive Senior Corporate & Contracts Paralegal to support the Legal team in Washington, DC. The role works closely with the Chief Regulatory and Legal Officer, counterparties, and counsel to manage corporate and contract matters as the company scales its commercial and national‑security operations.
Key responsibilities
- Support foundational corporate activities such as resolutions, consents, cap table documentation, entity minute books, and maintenance of corporate formalities across Zeno’s entities.
- Serve as first‑line support for company‑wide NDAs and standard services agreements, managing requests, first‑level negotiation, and ensuring timely execution and filing.
- Partner with counsel to maintain and improve contract templates and negotiation playbooks, and conduct related legal research.
- Assist with transaction documentation, closing checklists, and corporate regulatory filings.
- Stand up a contracts lifecycle management system (CLM) and create/update processes and guidance.
- Help prepare diligence materials and manage data rooms for fundraising, M&A, or other strategic actions.
- Support export control compliance workstreams (ITAR/EAR) and coordinate classification matters.
- Assist with IP matters, employment and litigation documentation, and administrative legal functions.
Required profile
- 6+ years of paralegal experience, preferably in‑house supporting corporate and transactional work, including government contracting or regulated industries.
- Proven experience managing corporate governance documentation and high‑volume contract intake with full lifecycle management.
- Strong organizational skills, sound judgment handling confidential information, and ability to meet multiple deadlines.
- Excellent written and verbal communication, capable of producing clear summaries and engaging with senior leadership and outside counsel.
Required skills
- Experience with contract lifecycle management systems such as Ironclad.
- Proficiency in Microsoft Office, Google Workspace, Confluence and Jira.
- Familiarity with government contracting compliance frameworks (CMMC, FAR/DFARS).
- Knowledge of export control regimes (ITAR, EAR).
