Paralegal – Legal & Diligence Support

About the role

H.C. Wainwright is looking for a motivated Paralegal to provide clerical and research support for securities and investment‑banking transactions. The role can be based in New York, Miami, or performed remotely, offering flexibility while supporting high‑stakes due‑diligence processes.

Key responsibilities

• Liaise with senior client management, investment‑banking teams, external counsel, auditors and consultants to complete due‑diligence.
• Perform Customer Due Diligence (CDD), Enhanced Due Diligence (EDD) and AML/OFAC research for onboarding and ongoing monitoring.
• Conduct legal research using SEC filings, public databases, social media and third‑party vendors.
• Document findings, maintain internal systems, and ensure accurate filing of all diligence materials.
• Support the diligence team with scheduling, KYC/AML procedures, and database maintenance.

Required profile

• Minimum 2 years experience at a law firm or investment bank, preferably in securities law.
• Familiarity with public company SEC filings (10‑K, 10‑Q, proxy statements).
• Ability to manage multiple projects in a high‑pressure environment.
• Strong organizational, time‑management and prioritization skills.

Required skills

• Proficiency with Microsoft Office Suite.
