Funds Counsel (6+ years PQE)

About the role

Oliver James is seeking an experienced Funds Counsel to join its Legal & Compliance team in New York. The successful candidate will lead the structuring, formation, fundraising and ongoing management of private investment funds across a broad range of alternative‑investment strategies.

Key responsibilities

• Lead the legal structuring and formation of private investment funds and related vehicles.
• Advise on fund domiciling, tax‑efficient structures, regulatory considerations and investor requirements.
• Coordinate launches of commingled funds, co‑investment vehicles, separately managed accounts, continuation funds and special purpose vehicles.
• Manage fund closings, investor onboarding and side‑letter negotiations.
• Draft, review and negotiate fund documentation such as LPAs, PPMs, subscription agreements, side letters and management agreements.
• Support investor relations and fundraising teams on legal issues during capital‑raising processes.
• Provide counsel on U.S. securities laws, investment adviser regulations and monitor regulatory developments.
• Collaborate with investment, finance, tax, compliance, operations and product development teams on governance, acquisitions, restructurings and GP‑led transactions.

Required profile

• 6+ years post‑qualification experience as a funds formation or structuring lawyer.
• Demonstrated experience with private equity, credit, real assets, infrastructure, secondaries or similar alternative‑investment products.
• Strong knowledge of fund domiciling, tax‑efficient structures and relevant U.S. securities regulations.
• Proven ability to draft and negotiate LPAs, PPMs, subscription agreements and related documentation.
• Experience working with senior management, external counsel and institutional investors.
