Commercial Transactions Attorney (NYC)

About the role

We are seeking an experienced Commercial Transactions Attorney to join a boutique law firm in New York. The successful candidate will independently manage complex business agreements from initial strategy through execution, providing practical counsel on governance, risk, and operational matters.

Key responsibilities

• Lead commercial matters, overseeing workflow and directing junior attorneys and support staff.
• Draft, revise, and negotiate a variety of transaction documents, including supply agreements, joint venture and strategic alliance agreements, license and technology agreements, shareholders’ and partnership agreements, and distribution/reseller agreements.
• Advise closely held companies and principals on corporate governance, ownership structures, and internal relationships.
• Provide counsel on privacy, data protection, and related regulatory issues affecting transactions.
• Communicate directly with clients, opposing counsel, and other deal professionals, delivering business‑oriented advice.

Required profile

• Minimum 7 years of experience handling commercial transactions in a law firm or sophisticated corporate legal department.
• Admission to the New York Bar in good standing; additional admissions are a plus.
• Strong academic credentials from a highly regarded law school or comparable achievement.
• Demonstrated ability to manage complex deals, lead teams, and mentor junior lawyers.
