M&A Counsel – Corporate Transactions Attorney

About the role

This is a high‑impact opportunity for an experienced legal professional to lead and support complex domestic and international M&A transactions. You will work closely with executive leadership and cross‑functional teams in a fast‑paced, technology‑driven environment, providing practical, business‑oriented legal guidance throughout the deal lifecycle.

Key responsibilities

• Lead and manage a pipeline of domestic and international mergers, acquisitions, divestitures, and strategic corporate transactions.
• Provide risk‑adjusted legal advice during structuring, negotiation, closing, and integration phases.
• Draft, review, and negotiate stock purchase agreements, asset purchase agreements, and related documentation.
• Conduct and oversee legal due diligence, summarize findings, and propose mitigation strategies.
• Collaborate with finance, tax, employment, privacy, IP, product, and security teams to evaluate transaction risks.
• Coordinate external counsel across multiple jurisdictions, ensuring quality and cost‑effectiveness.
• Support post‑acquisition integration, including governance, operational agreements, and employee matters.
• Develop scalable transaction processes, legal playbooks, and best practices.
• Monitor evolving legal, regulatory, and market trends related to corporate transactions.
• Leverage AI‑powered tools and legal technology to improve diligence workflows and overall legal operations.

Required profile

• Juris Doctor (J.D.) degree and active bar membership in at least one U.S. jurisdiction.
• 5+ years of experience practicing M&A law in a leading law firm or in‑house legal environment.
• Strong experience drafting, negotiating, structuring, and advising on mergers and acquisitions.
