Legal Counsel – Commercial

About the role

AVEVA is seeking a Legal Counsel – Commercial to join its Houston team. The role will focus on drafting, reviewing and negotiating complex commercial contracts that support the company’s software and services business across North America.

Key responsibilities

• Draft, review and negotiate B2B contracts including software licences, SaaS, cloud offerings, consulting and service delivery agreements.
• Handle strategic teaming, prime and subcontractor agreements, RFQs, RFPs and various NDAs within the approved legal framework.
• Maintain up‑to‑date knowledge of applicable laws and regulations and ensure compliance.
• Provide pragmatic legal advice to sales, finance and other business units, translating legal concepts into clear guidance.
• Assist in improving internal processes, legal systems and record‑keeping.
• Collaborate with counterparts in EMEA and APAC and support special projects as required.

Required profile

• Law degree from an ABA‑accredited law school and membership in good standing of at least one U.S. state bar.
• Minimum three years of in‑house or transactional attorney experience with commercial software agreements.
• Working knowledge of state and federal laws governing account collections, including the Bankruptcy Code.
• Strong analytical ability, attention to detail and a customer‑service mindset.
