Fund Formation Case Assistant

About the role

The Fund Formation Case Assistant provides paralegal support to attorneys and paralegals on emerging company and venture fund matters. This full‑time position involves preparing legal documents, conducting due‑diligence, and assisting with regulatory compliance.

Key responsibilities

• Prepare and maintain organizational documents, partnership and LLC agreements, side letters, transfer and admission agreements.
• Conduct investor suitability due‑diligence and research federal and state securities regulations.
• Assist with filing required notices and SEC compliance reporting for venture fund clients.
• Review documents, draft opinions, and prepare backup materials for fund formations.
• Bill a minimum of 1,600 hours annually, submit timesheets, and perform other administrative duties.

Required profile

• Bachelor’s degree (Paralegal Certificate preferred).
• Willingness to work overtime as needed.
• Ability to work independently and as part of a fast‑paced team.
• Excellent written communication, proofreading, and attention to detail.
• Reliability, punctuality, and professional demeanor.

Required skills

• Proficiency with Microsoft Office suite.
• Experience using iManage or similar firm applications.
