Counsel

About the role

We are looking for a proactive Counsel to join Zinnia’s legal team in New York City. You will act as the primary legal advisor for commercial transactions, helping the business assess risk and make informed decisions throughout the contract lifecycle.

Key responsibilities

• Draft, review and negotiate a variety of commercial agreements, including SaaS, licensing, professional services, implementation, support and insurance third‑party administration contracts.
• Manage the full contract lifecycle – pricing, service levels, data protection, IP, indemnification, limitation of liability, termination rights and regulatory terms.
• Handle post‑signature matters such as interpretation, amendments, renewals and dispute resolution.
• Develop and maintain contracting tools, templates, playbooks and approval workflows to improve efficiency and consistency.
• Partner with Sales, Finance, Product, Technology, Operations, InfoSec, Privacy and Compliance to identify and mitigate legal and commercial risk.
• Monitor developments in commercial, technology, insurance regulatory and privacy law and communicate relevant changes to the business.
• Participate in cross‑functional projects and special initiatives as needed.

Required profile

• Strong curiosity and a genuine interest in learning new areas of law.
• Ability to ask probing questions and understand the “why” behind business decisions.
• Detail‑oriented with a pragmatic approach to problem‑solving.
• Excellent communication skills, capable of translating legal concepts into plain language.

Required skills

• Experience drafting and negotiating commercial contracts (SaaS, licensing, professional services, etc.).
• Knowledge of data protection, IP, indemnification and liability clauses.
• Familiarity with insurance third‑party administration agreements and related regulatory requirements.
